Article I – Name

The name of this organization shall be the South Carolina Association for Developmental Education (hereinafter referred to as SCADE or “this association”).

Article II – Purposes

The purposes of SCADE shall be to improve the theory, practice and effectiveness of developmental education, the professional capabilities of developmental educators, and the programs and resources designed to prepare and support developmental educators in post-secondary education. SCADE will seek to accomplish these purposes through the following activities.

A. Engaging in the development and expansion of a communications network among those interested in developmental and remedial education in South Carolina;

B. Promoting and sponsoring professional development, curriculum design, research and evaluation efforts among its members and other interested parties;

C. Engaging in the specific and general coordination of efforts with other organizations and persons having purposes supportive of, or in harmony with, SCADE concerns; and

D. Providing for its members and prospective members such state, regional or local conferences as resources and interest permit.

Article III – Character of the Organization

This organization is to be considered a legally constituted state affiliate of the National Association for Developmental Education (NADE), and as such, may not be organized and operated in violation of the Constitution and By-Laws of NADE.

Article IV – Membership and Dues

A. Membership Qualifications: Any individual who is engaged in developmental education or who is otherwise interested in the purposes of SCADE is eligible for membership. Such individuals do not have to be members of NADE in order to qualify for membership in SCADE.

B. Membership Applications: Individuals interested in membership shall file an application with the SCADE membership chairperson. Applicants must pay the designated membership fee and will then receive a membership card.

C. Membership Dues Structure: Annual membership categories and dues shall be as follows, with annual dues to be set by the Executive Board.

        ▪  Part-time professional
        ▪  Retired professional (lifetime membership)
        ▪  Student (full- or part-time, undergraduate)
  
D. Annual Dues Cycle: SCADE membership period is from January 1 through December 31. Dues are collected annually. SCADE’s fiscal year is from January 1 through December 31.

E. Membership Voting Rights and Representation: Each individual member of SCADE, regardless of membership category, will have one delegate vote in all association elections or other voting activities (e.g., constitutional amendments).

Article V – Governance Structures

A. Executive Board Composition. The SCADE Executive Board will consist of four elected and six ex-officio members. The elected members will be the President, President-Elect, Secretary, and Treasurer. The ex-officio members will be the membership chair, communications chair, public education chair, awards chair, nominations chair, immediate Past President, up to seven at-large representatives, chosen by the President with Executive Board approval, to provide geographic, institutional, or philosophical balance to the Executive Board.

B. Executive Board Powers. The Executive Board shall have the responsibility and authority for interpreting and implementing policy actions adopted by the general SCADE membership (at annual conferences and elsewhere). It shall have the responsibility and authority for generating, interpreting, and implementing policies deemed necessary (between annual conferences and other expressions of membership will), provided that such interim actions shall not abrogate the Constitution and By-Laws of the Association.

C. Executive Board Functions. The Executive Board shall meet at least quarterly, with meetings to be called at a time and place convenient for the majority of the Board. A quorum shall consist of 51% of the Board.

Article VI – Elected Officials

A. Composition and Duties

The elected SCADE officials shall consist of four officers: President, President-Elect, Secretary, and Treasurer. Their primary duties and powers shall be as follows:

1. The President shall :

    a) call and preside at all meetings of the Executive Board;
    b) prepare the agenda for these meetings;
    c) serve as liaison with other organizations having similar interests;
    d) serve as SCADE’s legal representative to NADE;
    e) serve as ex-officio member of all standing committees;
    f)  appoint, with the approval of the Executive Board, the members of all permanent and ad-hoc committees.

2. The President-Elect shall serve as program officer, organizing, planning, and developing any conferences and workshops as directed by the Executive Board.

3. The Secretary shall:

    a) record the minutes of all Executive Board meetings;
    b) submit copies of the minutes to the Executive Board and the representatives of all participating colleges and universities;
    c) carry on all general correspondence of the organization;
    d) maintain the archives of the organization;
    e) develop and maintain a current list of lead contacts at each participating college and university.

4. The Treasurer shall:

    a) monitor the annual budget;
    b) provide a quarterly report on income and expenditures to the Executive Board;
    c) maintain all financial records;
    d) issue all checks and purchase orders;
    e) prepare an annual Financial Statement for the membership;
    f) conduct all other necessary financial activities of the organization.
   
The Treasurer shall be bonded unless waived by the Executive Board and shall be required to have sufficient training and/or practical experience in accounting and financial management to manage adequately the financial affairs of tax-exempt associations such as SCADE.

B. Election and Term of Office

The elected officers, except for the Treasurer, will a) serve for one calendar year (January 1 to December 31), and b) will be elected by the majority of members returning ballots by the first day of the fall conference or November 1st, if there is no fall conference. The treasurer will serve for two calendar years.

C. Nomination of Officers

The Nominations Committee shall consist of Nomination chair, the Past-President (if serving), and two members chosen by the other Executive Board members. This committee shall a) issue a call for nominations to all SCADE members in good standing no later than September 1; b) submit a written ballot consisting of the names of all those nominated no later than October 1; and c) serve as the collection and certification of election body for the resulting ballots.

D. Restrictions on Executive Board

1. The President may not serve as an elected officer during the association year following his or her presidency.

2. At least one member of the Executive Board must be employed by a four-year post-secondary institution, and one must be employed by a two-year post-secondary institution.

3. All elected officers must be a current or retired employee of South Carolina and members of both SCADE and NADE.

E. Replacement and Impeachment of Executive Board Members

1. Executive Board Members: Officers who resign, are impeached, or are unable to serve due to death or prolonged illness during that term of their office shall be replaced for the interim of that term by appointment of the President, with the concurrence of the Executive Board.

2. An Executive Board Member may be impeached by two-thirds vote of the remaining Executive Board.

3. If the President is unable to fulfill the duties of the office, for any reason, the President-Elect shall assume the office and complete the term of the President.

Article VII – Standing Committees

Five functional standing committees will exist at all times within SCADE. An ex-officio member of the SCADE Executive Board will chair each committee.

A. The Membership Committee shall:

    a) devise a systematic plan for recruitment of members;
    b) handle all correspondence regarding membership status, applications, etc;
    c) report to the Executive Board the status of membership at each Board meeting;
    d) recommend actions that SCADE should consider to enhance services to its current and prospective members.

B. The Communications Committee shall be responsible for the production and dissemination of the SCADE newsletter, website, and other useful publications with the concurrence and cooperation of the Executive Board.

C. The Public Education Committee shall:

    a) issue press releases about activities of SCADE;
    b) serve as liaison with legislators, education officials, the public and others concerning issues related to developmental education;
    c) serve as a source of information to members of SCADE about upcoming legislation related to developmental education;
    d) lead other education-related activities of SCADE (e.g., cultural diversity).

D. The Awards Committee shall:

    a) issue a call for nomination of awards at the state and national level;
    b) obtain and select recipients of all SCADE awards and publicize their achievements;
    c) lead in nominating SCADE members and institutions for all NADE and other relevant awards.

E. The Nomination Committee shall implement the procedures specified in Article VI C.

Terms of Office: All standing committee chairpersons shall be selected on a year by year basis and may serve consecutive multiple terms.

Article VIII – Finances

The Treasurer will prepare an Annual Financial Statement and shall submit it to the membership for review by fall conference, or by November 1st if there is no fall conference. This statement shall indicate the expenses and income by comparable categories for the prior twelve months.

Article IX – Rules of Order

Robert’s Rules of Order in the most recently revised version approved by the Executive Board shall be the parliamentary authority for the proceedings of the Association.

Article X – Constitutional Amendments

Proposals to amend this Constitution may be initiated by a) the Executive Board, b) unanimous recommendation of a standing committee, or c) any person qualifying as a voting member and submitting to the Executive Board a petition signed by at least 25 voting members. The Constitution may be amended by action of the members at a statewide meeting or by mailed ballot. In either case, a vote of no less than two-thirds of the ballots cast is needed to pass the amendment. Proposals to amend this Constitution shall be mailed to all members at least thirty days prior to any official vote.
