Article I – NameThe name of this organization shall be the South Carolina Association for Developmental Education (hereinafter referred to as SCADE or “this association”). Article II – PurposesThe purposes of SCADE shall be to improve the theory, practice and effectiveness of developmental education, the professional capabilities of developmental educators, and the programs and resources designed to prepare and support developmental educators in post-secondary education. SCADE will seek to accomplish these purposes through the following activities. A. Engaging in the development and expansion of a communications network among those interested in developmental and remedial education in South Carolina; B. Promoting and sponsoring professional development, curriculum design, research and evaluation efforts among its members and other interested parties; C. Engaging in the specific and general coordination of efforts with other organizations and persons having purposes supportive of, or in harmony with, SCADE concerns; and D. Providing for its members and prospective members such state, regional or local conferences as resources and interest permit. Article III – Character of the OrganizationThis organization is to be considered a legally constituted state affiliate of the National Association for Developmental Education (NADE), and as such, may not be organized and operated in violation of the Constitution and By-Laws of NADE. Article IV – Membership and DuesA. Membership Qualifications: Any individual who is engaged in developmental education or who is otherwise interested in the purposes of SCADE is eligible for membership. Such individuals do not have to be members of NADE in order to qualify for membership in SCADE. B. Membership Applications: Individuals interested in membership shall file an application with the SCADE membership chairperson. Applicants must pay the designated membership fee and will then receive a membership card. C. Membership Dues Structure: Annual membership categories and dues shall be as follows, with annual dues to be set by the Executive Board. Membership Category E. Membership Voting Rights and Representation: Each individual member of SCADE, regardless of membership category, will have one delegate vote in all association elections or other voting activities (e.g., constitutional amendments).
Article V – Governance StructuresA. Executive Board Composition. The SCADE Executive Board will consist of four elected and six ex-officio members. The elected members will be the President, President-Elect, Secretary, and Treasurer. The ex-officio members will be the membership chair, communications chair, public education chair, awards chair, nominations chair, immediate Past President, up to seven at-large representatives, chosen by the President with Executive Board approval, to provide geographic, institutional, or philosophical balance to the Executive Board. B. Executive Board Powers. The Executive Board shall have the responsibility and authority for interpreting and implementing policy actions adopted by the general SCADE membership (at annual conferences and elsewhere). It shall have the responsibility and authority for generating, interpreting, and implementing policies deemed necessary (between annual conferences and other expressions of membership will), provided that such interim actions shall not abrogate the Constitution and By-Laws of the Association. C. Executive Board Functions. The Executive Board shall meet at least quarterly, with meetings to be called at a time and place convenient for the majority of the Board. A quorum shall consist of 51% of the Board.
Article VI – Elected OfficialsA. Composition and Duties The elected SCADE officials shall consist of four officers: President, President-Elect, Secretary, and Treasurer. Their primary duties and powers shall be as follows: 1. The President shall : a) call and preside at all meetings of the Executive Board; 2. The President-Elect shall serve as program officer, organizing, planning, and developing any conferences and workshops as directed by the Executive Board. 3. The Secretary shall: a) record the minutes of all Executive Board meetings; 4. The Treasurer shall: a) monitor the annual budget; B. Election and Term of Office The elected officers, except for the Treasurer, will a) serve for one calendar year (January 1 to December 31), and b) will be elected by the majority of members returning ballots by the first day of the fall conference or November 1st, if there is no fall conference. The treasurer will serve for two calendar years. C. Nomination of Officers The Nominations Committee shall consist of Nomination chair, the Past-President (if serving), and two members chosen by the other Executive Board members. This committee shall a) issue a call for nominations to all SCADE members in good standing no later than September 1; b) submit a written ballot consisting of the names of all those nominated no later than October 1; and c) serve as the collection and certification of election body for the resulting ballots. D. Restrictions on Executive Board 1. The President may not serve as an elected officer during the association year following his or her presidency. 2. At least one member of the Executive Board must be employed by a four-year post-secondary institution, and one must be employed by a two-year post-secondary institution. 3. All elected officers must be a current or retired employee of South Carolina and members of both SCADE and NADE. E. Replacement and Impeachment of Executive Board Members 1. Executive Board Members: Officers who resign, are impeached, or are unable to serve due to death or prolonged illness during that term of their office shall be replaced for the interim of that term by appointment of the President, with the concurrence of the Executive Board. 2. An Executive Board Member may be impeached by two-thirds vote of the remaining Executive Board. 3. If the President is unable to fulfill the duties of the office, for any reason, the President-Elect shall assume the office and complete the term of the President.
